By downloading and using Vely Stealth, you agree to these terms. Please read them carefully. Vely Stealth is an administrative tool designed to help you track your location and calculate tax compliance status—not a substitute for professional tax or legal advice.

1. Acceptance of Terms

These Terms of Use ("Terms") constitute a legal agreement between you ("User," "you") and Vely Stealth ("Company," "we," "us," "our"). By downloading, installing, or using the Vely Stealth iOS application and any related services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.

2. Nature of the Service

Vely Stealth is a privacy-first compliance tracking application for digital nomads and frequent travelers. It helps you:

Track border crossings and countries visited
Calculate days spent in specific jurisdictions
Monitor compliance with tax residency rules (183-day rule, Schengen 90/180, FEIE, etc.)
Generate audit-ready trip reports
Receive alerts for tax residency and visa compliance risks

Vely Stealth assumes no liability for tax penalties, visa violations, or legal consequences arising from your reliance on the App's outputs.

3. Intellectual Property Rights

All content, features, functionality, design, graphics, text, and code contained in the App (collectively, "Content") are the exclusive property of Vely Stealth and its licensors. You are granted a non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes only.

You may not:

Copy, modify, or create derivative works of the App or its Content
Reverse-engineer, decompile, or disassemble the App
Remove or alter any copyright, trademark, or proprietary notices
Rent, lease, or sell the App or any portion thereof

4. Free Tier and Pro Tier Subscriptions

4.1 Free Tier

The Free Tier includes:

Ghost Tracker (location-based border detection)
Border crossing alerts
Tax residency tracking for one jurisdiction
Basic trip log viewing

The Free Tier is available indefinitely at no cost and contains no ads.

4.2 Pro Tier Subscription

The Pro Tier is a paid subscription that provides:

All Free Tier features
Audit-ready PDF report generation
Evidence Vault (upload and link passport stamps, receipts, boarding passes)
Multi-jurisdiction tracking (unlimited countries)
Vely AI Assistant (tax law questions and compliance guidance)
Insurance Coverage Watchdog (home-country insurance day limits)
What-If Simulator (scenario planning)

4.3 Pricing and Payment

Monthly Subscription: $9.99/month
Annual Subscription: $59.99/year (equivalent to $4.99/month, approximately 50% discount)
Subscriptions auto-renew on the renewal date unless canceled
Payment is processed through Apple's App Store in USD (or equivalent in your local currency)
Prices are subject to change with 30 days' notice

4.4 Free Trial

Vely Stealth may offer a free trial period for new Pro subscribers. If you sign up for a free trial:

Your trial period will be clearly stated during signup
Your subscription will automatically convert to paid at the end of the trial unless canceled before the trial expires
You will receive a reminder notification before the trial ends

5. Cancellation and Refunds

5.1 Cancellation

You may cancel your Pro subscription at any time through the iOS Settings app under Subscriptions. Cancellation takes effect at the end of your current billing cycle. You will not be charged for the next billing period.

To cancel:

Open Settings on your iOS device
Tap your name at the top
Select "Subscriptions"
Find "Vely Stealth" and tap it
Tap "Cancel Subscription"

5.2 Refunds

Refunds for Pro subscriptions are subject to Apple's App Store Refund Policy. Generally:

Refunds for accidental purchases must be requested within 30 days
Refunds for duplicate charges must be requested within 30 days
Refunds are not available for subscription charges if the service was provided as purchased
Refund requests are processed by Apple, not by Vely Stealth

6. Limited Warranty & Disclaimer

6.1 "As Is" Basis

The App is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind. Vely Stealth disclaims all express and implied warranties, including (but not limited to) warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

6.2 Accuracy Disclaimer

While we strive for accuracy, Vely Stealth does not guarantee that:

Location data captured by the App will be 100% accurate (e.g., border crossings via ferry or remote areas may not be detected)
Tax residency calculations will be correct for all jurisdictions (tax laws vary and change frequently)
Compliance alerts will prevent all tax violations or legal issues
Evidence hashing and signing will satisfy all tax authorities' requirements

You are responsible for independently verifying compliance with all applicable laws.

6.3 Battery and Performance

Vely Stealth is designed to use minimal battery (less than 2% daily background overhead). However, battery consumption depends on your device, iOS version, and usage patterns. We do not guarantee specific battery drain levels. If you experience excessive battery drain, you can:

Disable background location tracking in Settings
Switch to manual-only mode for location entry
Uninstall and reinstall the App

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Vely Stealth shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the App, including (but not limited to) loss of income, loss of profits, or tax penalties.
In no event shall Vely Stealth's total liability exceed the amount you paid for a Pro subscription in the 12 months preceding the claim (or $0 if you only used the Free Tier).
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability, so some of the above may not apply to you.

You assume all risk and responsibility for any tax, legal, or immigration consequences arising from your use of Vely Stealth or reliance on its outputs. Vely Stealth is not liable for penalties, fines, visa denials, deportation, or any other adverse legal consequences.

8. User Conduct

You agree not to use the App to:

Violate any applicable laws or regulations
Infringe upon any third party's intellectual property rights
Harass, defame, abuse, threaten, or intimidate anyone
Attempt to gain unauthorized access to the App or its systems
Transmit viruses, malware, or malicious code
Reverse-engineer or attempt to extract proprietary data from the App
Use the App in any way that violates these Terms or applicable law

9. Data Privacy and Security

Your use of the App is governed by our Privacy Policy. By using the App, you consent to the data practices described in the Privacy Policy.

Key Privacy Points:

All your location and trip data are stored locally on your device
We do not require an account or login
We do not share your location history with tax authorities, governments, or third parties
Opting into Vely AI will transmit your compliance question to OpenAI via a secure proxy

10. Termination

Vely Stealth may terminate your access to the App if you:

Violate any provision of these Terms
Engage in illegal activity
Attempt to hack, reverse-engineer, or damage the App
Violate Apple's App Store Terms and Conditions

Upon termination, your Pro subscription will be canceled and no refund will be issued (unless required by law). You may continue to use the Free Tier unless we revoke your access entirely.

11. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Turkey, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Istanbul, Turkey for any disputes arising from these Terms or your use of the App.

12. Dispute Resolution

If you have a dispute with Vely Stealth, you agree to attempt to resolve it informally by contacting us at: hello@virtusop.us

If the dispute cannot be resolved informally within 30 days, either party may pursue formal legal action as permitted by law.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be severed, and the remaining provisions shall remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Vely Stealth regarding the App and supersede all prior agreements, understandings, and communications, whether written or oral.

15. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date at the top of this page. Your continued use of the App following the posting of revised Terms means that you accept and agree to the changes.
